TERMS OF SERVICE
Last Updated: June 16, 2026
By creating an account, purchasing credits, or using Clarity (the “Service”), you agree to be bound by these Terms of Service (“Terms”). These Terms are a binding legal agreement between you and A Brilliant Way Inc. (“we,” “us,” or “our”). If you do not agree to these Terms, you must discontinue use immediately and not create an account.
These Terms incorporate our Privacy Policy by reference. By accepting these Terms, you also acknowledge that you have read and understood the Privacy Policy.
1. Agreement to Terms
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
2. Eligibility
By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to both you individually and the organization.
3. Description of Service
Clarity is an AI verification platform (the “Rivalry Engine”) that routes user inputs to a roster of third-party Large Language Models (“LLMs”) for adversarial peer review (“Peer Review”). The Service also includes a revision capability (the “Revision Protocol”) that allows you to iterate on outputs within a session, and an automated routing system (the “Intelligent Routing” engine) that determines which models process your inputs based on query characteristics.
3.1 No Guarantee of Accuracy. While our process is designed to optimize accuracy, AI models can produce incorrect, incomplete, biased, or misleading outputs (commonly known as “hallucinations”). The Service is a decision-support tool, not a replacement for professional human judgment. You are solely responsible for evaluating, verifying, and deciding whether to rely on any outputs. You use the results at your own risk.
3.2 Service Availability. We strive to maintain consistent availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, upstream provider outages, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of scheduled maintenance.
3.3 Dynamic Roster. The specific AI models and providers used by the Service may change over time as we add, remove, or replace providers in our roster. Changes to the provider roster are governed by the notification process described in our Privacy Policy.
4. Financials and Usage Economics
4.1 Initial Credit Purchase. Access to the Service is granted upon purchase of a $20.00 (USD) initial credit balance. This establishes your wallet and ensures the infrastructure required for Peer Review and Revisions is available for your requests. Credits are consumed as you use the Service.
4.2 Top-Ups. You may add credits to your wallet at any time, with a minimum top-up of $5.00 (USD).
4.3 Credit Validity. Credits do not expire while your account remains active. In the event that we discontinue the Service entirely, we will provide at least 60 days’ advance notice and refund the dollar value of any unused credits remaining in your wallet at the time of discontinuation.
4.4 Pricing Changes. We reserve the right to change credit pricing for future purchases. Price changes do not affect credits already purchased; those credits retain their full value regardless of subsequent pricing adjustments. We will notify you of pricing changes via email at least 30 days before they take effect.
4.5 Refunds
4.5.1 Customers in the United States. All credit purchases are final. Clarity incurs irreversible infrastructure costs from upstream providers the moment a Peer Review is initiated, and we cannot offer refunds for qualitative disagreements with outputs, verifications, or revisions.
4.5.2 Customers outside the United States. You may request a refund within 14 days of your purchase date. Refunds are processed through our payment provider in accordance with its refund policy and with any mandatory consumer protection laws that apply to you; where those laws grant you stronger rights, the higher level of protection applies.
4.5.3 Failed requests (all customers). If a request fails to deliver any output due to a system error or upstream provider outage, the credits consumed by that failed request will be restored to your wallet at no cost to you. This in-app credit restoration is a service commitment and does not limit any refund or withdrawal rights you have.
4.5.4 Statutory rights (all customers). Nothing in this section limits any refund rights you may have under mandatory consumer protection laws in your jurisdiction. Where such laws apply, you are entitled to the higher level of protection.
5. User Conduct
You agree not to:
- Use the Service to generate, verify, or refine content that is illegal, harmful, fraudulent, defamatory, or that infringes any third party’s intellectual property rights.
- Use outputs in any context where AI-generated content is prohibited by applicable law, regulation, or institutional policy (e.g., academic submissions, regulatory filings) without appropriate disclosure.
- Reverse engineer, decompile, or attempt to derive the logic of the Peer Review, Revision Protocol, or Intelligent Routing systems.
- Circumvent or attempt to trigger the velocity rate limits (“Burst Shield”) through automated bots, scrapers, or other programmatic means.
- Create multiple accounts to circumvent usage limits, billing requirements, or account suspensions.
- Share account credentials with third parties or allow others to access the Service through your account.
- Use the Service in violation of any applicable export control or sanctions laws.
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
6. Intellectual Property and Sovereignty
6.1 Your Content. You retain full ownership of the inputs you provide and the outputs generated through the Service (“Clarified Results”). We claim no ownership interest in your intellectual property. You are solely responsible for ensuring that your inputs do not infringe third-party rights and that your use of outputs complies with applicable law, including intellectual property law. Outputs may reflect patterns from the training data of upstream AI models, and we do not warrant that outputs are free from third-party intellectual property claims.
6.2 Clarity IP. A Brilliant Way Inc. owns all rights in the Service, including the interface, the Rivalry Engine algorithm, the Intelligent Routing logic, and all associated branding, trademarks, and trade dress. The adversarial Peer Review methodology is the subject of a pending United States patent application. You agree not to copy, decompile, reverse engineer, or create derivative works from any proprietary aspect of the Service.
6.3 Feedback. If you provide suggestions, feature requests, or other feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, modify, and incorporate that feedback into the Service without obligation to you.
7. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” A BRILLIANT WAY INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) OUTPUTS WILL BE ACCURATE, COMPLETE, OR FREE FROM BIAS; (C) THE SERVICE WILL DETECT EVERY ERROR OR PRODUCE CORRECT REVISIONS; OR (D) THIRD-PARTY AI MODEL PROVIDERS WILL PERFORM WITHOUT INTERRUPTION OR DEGRADATION.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
8. Limitation of Liability
8.1 Exclusion of Consequential Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, A BRILLIANT WAY INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR COST OF SUBSTITUTE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8.2 Liability Cap. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) THE VALUE OF YOUR REMAINING CREDIT BALANCE AT THE TIME OF THE CLAIM.
8.3 Exceptions. NOTHING IN THIS SECTION SHALL LIMIT LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY LIABILITY THAT CANNOT BE LAWFULLY LIMITED OR EXCLUDED UNDER APPLICABLE LAW.
9. Indemnification
You agree to indemnify, defend, and hold harmless A Brilliant Way Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) your inputs or your use of any outputs generated through the Service.
10. Governing Law and Dispute Resolution
10.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. If you are a consumer in a jurisdiction where mandatory consumer protection laws apply (including the European Union), nothing in this section deprives you of the protections afforded by the laws of your jurisdiction of residence.
10.2 Venue. Subject to Section 10.1, any disputes arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in Hennepin County, Minnesota, and you consent to the personal jurisdiction of those courts.
11. Account Termination and Suspension
11.1 Termination by Us (For Cause). We may suspend or terminate your account immediately and without refund of credits if you materially violate Section 5 (User Conduct). Where practicable and where the violation is not severe or ongoing, we will provide you with notice and a 7-day opportunity to cure the violation before termination.
11.2 Voluntary Account Closure. You may close your account at any time by contacting support@abrilliantway.com. Upon voluntary closure, any remaining credits in your wallet are forfeited unless applicable law requires otherwise. We will process the deletion of your account data in accordance with the retention schedule set forth in our Privacy Policy.
11.3 Effect of Termination. Upon termination or closure of your account, your right to access the Service ceases immediately. Sections 6 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), and 10 (Governing Law) survive termination.
12. Modifications to These Terms
We may update these Terms to reflect changes to the Service, our business practices, or legal requirements. When we make changes:
Material Changes. We will notify you by email at least 30 days before the changes take effect. Material changes include modifications to pricing, the refund policy, the liability cap, the governing law, or the dispute resolution mechanism. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with a material change, you may close your account before the effective date; upon such closure, any remaining credits in your wallet are forfeited unless applicable law requires otherwise.
Non-Material Changes. Minor wording corrections, formatting updates, and clarifications that do not alter the substance of the Terms will take effect upon posting. We will update the “Last Updated” date at the top of this page.
13. General Provisions
13.1 Force Majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to upstream AI provider outages, natural disasters, acts of government, internet disruptions, cyberattacks, or pandemics.
13.2 Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
13.3 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and A Brilliant Way Inc. with respect to the Service, and supersede all prior or contemporaneous communications, proposals, and representations, whether oral or written.
13.4 Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms.
13.5 Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by us to be effective.
13.6 Electronic Communications. By creating an account, you consent to receive communications from us electronically, including by email and through notices posted on the Service. You agree that all agreements, notices, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
